Financial Institutions

Fellers Snider has decades of experience representing state and national banks, bank holding companies, and major lenders in commercial transactions, regulatory matters, and litigation. We handle loan documentation, mergers and acquisitions, debt and equity financing, supervision and enforcement issues, and employment matters for financial institutions of all sizes.

Our firm became a leader in defending directors of failed banks during the widespread bank failures of the 1980s, and we continue to represent institutions facing severe regulatory sanctions, enforcement actions, and potential failure. We advise lenders involved in loan participation and transactions with distressed or failed institutions, as well as clients acquiring banks or related entities through receivership or purchase.

We prepare documentation for energy-related, real estate, and other commercial loans, often serving as local counsel in large multistate lending transactions. Our work includes due diligence on Oklahoma assets, review and preparation of loan documents, and issuing enforceability opinions under Oklahoma law.

Representative Matters:

  • Counsel to a bank providing a major multistate loan structured to secure Oklahoma income tax credits.
  • General counsel to the receiver of the Federal Land Bank of Jackson, overseeing the liquidation of over $2 billion in loan assets in one of the largest federal receiverships of a financial institution in U.S. history.
